These B2B Account Terms apply to approved agency, government, dealer, reseller, and other business purchasing accounts with Adam’s Gear Solutions. By applying for, accessing, or using a B2B account, the applicant agrees to these terms.

Account Approval

Submission of a B2B application does not guarantee approval.

Adam’s Gear Solutions may approve, deny, suspend, or terminate a B2B account at its discretion.

Additional documentation may be requested before approval, including tax exemption certificates, resale certificates, business licenses, purchase orders, or other information needed to verify the organization.

Account privileges, pricing, payment terms, and purchasing limits may vary by customer.

Agency Accounts

Agency accounts are intended for qualified government agencies, law enforcement agencies, fire departments, EMS organizations, public safety organizations, training organizations, and other approved entities purchasing products for organizational use.

Agency pricing may vary by product, quantity, manufacturer restrictions, and order size.

Purchase order privileges and payment terms are subject to approval.

Dealer Accounts

Dealer accounts are intended for approved retailers, distributors, ecommerce businesses, uniform suppliers, firearms related retailers, and other businesses purchasing products for resale.

Dealer approval does not create an exclusive territory, distributorship, franchise, partnership, or agency relationship.

Dealer pricing is intended for approved business customers and may not be shared publicly or distributed to unauthorized parties.

Pricing

B2B pricing may differ from standard retail pricing.

Pricing may change at any time due to manufacturer pricing changes, material costs, shipping costs, availability, or other business conditions.

Quotes are valid only for the period stated on the quote.

Pricing is not guaranteed until an order has been accepted by Adam’s Gear Solutions.

Pricing errors may be corrected before fulfillment.

Taxes and Exemption Documentation

Customers are responsible for providing accurate tax information.

Tax exempt customers must provide valid exemption documentation when required.

Indiana tax exempt organizations may be required to provide a completed Indiana ST 105.

Dealers purchasing products for resale may be required to provide a valid resale certificate or other applicable documentation.

Adam’s Gear Solutions may collect sales tax until acceptable documentation has been received and verified.

Customers are responsible for any taxes, penalties, interest, or other liabilities resulting from inaccurate or invalid exemption information provided to Adam’s Gear Solutions.

Purchase Orders and Payment Terms

Purchase orders are subject to acceptance by Adam’s Gear Solutions.

Purchase order terms do not override these B2B Account Terms unless Adam’s Gear Solutions agrees to different terms in writing.

Net payment terms are granted only to approved accounts.

Payment terms may be modified or revoked based on payment history, account status, order size, or other business considerations.

Invoices must be paid according to the payment terms shown on the invoice.

Adam’s Gear Solutions may place accounts with overdue balances on hold until payment is received.

Orders

B2B orders are subject to product availability and manufacturer availability.

An order is not considered accepted until confirmed by Adam’s Gear Solutions.

Adam’s Gear Solutions may require additional confirmation for large orders, customized products, special orders, controlled products, or unusually high value transactions.

Customers are responsible for verifying quantities, product selections, sizes, colors, configurations, shipping information, and other order details before the order is submitted.

Cancellations and Changes

Orders may be changed or cancelled before submission to the manufacturer when reasonably possible.

Once an order has been submitted to a manufacturer or production has begun, the order may be considered final.

Manufacturer cancellation fees, restocking fees, shipping costs, custom production expenses, and other nonrecoverable costs may be charged to the customer when applicable.

Custom products, special order products, personalized products, and certain manufacturer ordered products may not be eligible for cancellation.

Returns

B2B returns are subject to the Adam’s Gear Solutions Return Policy and any applicable manufacturer return restrictions.

Products must generally be unused, unmodified, and in resalable condition to qualify for return.

Custom products, personalized products, special order products, clearance products, and certain safety or protective equipment may be nonreturnable.

Return shipping and restocking charges may apply.

Dealer Resale

Dealer accounts may resell approved Adam’s Gear Solutions products through authorized business channels.

Adam’s Gear Solutions may restrict sales through certain third party marketplaces, auction sites, or other sales channels.

Dealer accounts may not represent themselves as Adam’s Gear Solutions, an exclusive distributor, or an authorized representative beyond the permissions specifically provided by Adam’s Gear Solutions.

Any marketplace, advertised pricing, brand usage, or resale requirements provided separately by Adam’s Gear Solutions are incorporated into these terms.

Intellectual Property

Adam’s Gear Solutions trademarks, logos, photographs, product descriptions, graphics, and other brand materials remain the property of Adam’s Gear Solutions.

Approved dealers may use authorized marketing materials solely for promoting and selling approved Adam’s Gear Solutions products.

Materials may not be materially altered or used in a way that misrepresents the product, company, or dealer relationship.

Product Availability and Manufacturer Changes

Manufacturers may change specifications, pricing, availability, packaging, or product configurations without notice.

Adam’s Gear Solutions is not responsible for manufacturer delays, discontinued products, supply disruptions, carrier delays, or other circumstances outside its reasonable control.

If a material product change affects an order, Adam’s Gear Solutions will make reasonable efforts to contact the customer before fulfillment.

Account Misuse

B2B accounts are intended only for the approved organization.

Customers may not share account credentials, pricing access, purchasing privileges, or other restricted account benefits with unauthorized persons or businesses.

Providing false business, tax, resale, or organizational information may result in immediate suspension or termination of the account.

Account Changes and Termination

Adam’s Gear Solutions may modify B2B pricing, purchasing privileges, catalogs, credit terms, product availability, or these B2B Account Terms at any time.

Continued use of the B2B account after changes become effective constitutes acceptance of the updated terms.

Adam’s Gear Solutions may suspend or terminate an account for nonpayment, misuse, fraudulent information, unauthorized resale activity, policy violations, or other legitimate business reasons.

Governing Law

These terms are governed by the laws of the State of Indiana, without regard to conflict of law principles.

Any dispute relating to a B2B account or transaction will be handled in accordance with applicable Indiana law.
